Terms of Service (GEO Writer)

These Terms of Service (the "Terms") are a legally binding agreement between you ("you" or "User") and Manifest Cowboys LLC, a Wyoming limited liability company ("Company," "we," "us," or "our"), governing your access to and use of the GEO Writer website and web application (collectively, the "Service").

By creating an account, accessing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1) The Service
GEO Writer is a web app that helps generate content intended for Generative Engine Optimization ("GEO") and Search Engine Optimization ("SEO"), including text and images, based on inputs you provide (e.g., keywords, business details, content preferences). The Service may integrate with third-party platforms and tools such as Shopify, WordPress, and n8n, and may use third-party APIs and AI/ML model providers to generate outputs.
No guarantee of results. We do not guarantee any ranking, indexing, traffic, GEO/SEO performance, citations, conversions, revenue, or other outcome.
2) Eligibility; Minimum Age
You must be at least 16 years old to use the Service. By using the Service, you represent that you are at least 16 and that you have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
3) Account Registration; Security; One User Per Account
You must create an account to use the Service. Authentication is provided via a third-party identity provider (currently through Replit authentication options that may include Google, Apple, email, X/Twitter, and GitHub).
You are responsible for:
- maintaining the confidentiality of your account credentials and access tokens;
- all activity that occurs under your account; and
- notifying us immediately if you suspect unauthorized access.
One user per account. Accounts are for a single user. You may not share accounts or credentials.
We may suspend or terminate accounts for suspected unauthorized access, fraud, abuse, or violations of these Terms or the Acceptable Use Policy.
4) Acceptable Use Policy; Prohibited Conduct
Your use of the Service is subject to our Acceptable Use Policy ("AUP"), which is incorporated into these Terms by reference. You agree not to use the Service to generate, upload, store, publish, distribute, or facilitate content or conduct that violates the AUP.
Without limiting the AUP, you may not use the Service for:
- illegal activity;
- infringing intellectual property rights;
- deceptive SEO spam or manipulative, misleading, or fraudulent content;
- hate, harassment, or discrimination;
- sexual content (including any sexual content involving minors);
- violent or extremist content;
- malware, phishing, credential theft, or other security threats;
- sending unsolicited or unlawful communications; or
- violations of sanctions/export control laws.
We may immediately suspend or terminate your access (without notice) for AUP violations, suspected fraud/abuse (including trial abuse), or legal/compliance risk.
5) Prohibited Personal Data; Minors
The Service is intended for business/brand content creation, not for processing personal data about real individuals.
You agree not to input, upload, generate, or publish through the Service any:
- personal data about real individuals (e.g., home addresses, personal phone numbers, personal emails, IDs);
- sensitive personal data (e.g., health, financial account information, government identifiers); or
- data relating to minors.
You are solely responsible for ensuring you have appropriate rights and legal bases to use any data you provide.
6) Inputs and Outputs; Ownership; License
6.1 Definitions
- "Inputs" means information or content you provide to the Service (including keywords, prompts, business details, CTA images, links, and other materials).
- "Outputs" means content generated by the Service for you (including text, images, and structured content).
6.2 Ownership
As between you and the Company, you own your Inputs and Outputs.
6.3 License to Operate the Service
You grant the Company a limited, non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, modify (e.g., formatting), and transmit Inputs and Outputs solely as necessary to provide, maintain, and secure the Service, including generating Outputs, displaying them to you, and performing requested publishing/automation actions.
6.4 No Training Use
We do not use your Inputs or Outputs to train our own models. We also do not permit third-party model providers to train on your Inputs/Outputs for our use of those providers where we have control to configure such settings; however, third-party services may process your content under their own terms.
6.5 No Marketing Use of Your Outputs
We will not use your Outputs for marketing or promotional purposes, even in anonymized form.
7) CTA Image Uploads (User Uploads)
The Service may allow you to upload a Call-To-Action ("CTA") image and a link and insert them into generated content.
You represent and warrant that you have all rights necessary to upload and use the CTA image and link. You are responsible for the legality and compliance of your CTA image/link and any claims arising from them.
CTA images are hosted by us and are access-controlled. If you delete a CTA image or remove it from the CTA block, it is deleted immediately.
8) Third-Party Services and Integrations
The Service can connect to third-party platforms (e.g., Shopify, WordPress) and tools (e.g., n8n) to publish or automate content. When you connect an integration, you authorize the Service to access and perform actions on your behalf consistent with the integration's permissions.
- Shopify: OAuth access token only; we do not collect Shopify admin passwords.
- WordPress: uses WordPress Application Passwords (not your normal password).
- n8n: workflows may use a GEO Writer API key; you can rotate/revoke this key.
Integration credentials are encrypted at rest (AES-256-GCM). You are responsible for complying with all third-party platform terms and for any actions taken through your connected accounts.
One integration per platform. You may have only one active integration per platform (e.g., one Shopify connection). Connecting a second integration for the same platform replaces the prior connection.
We are not responsible for third-party services, their availability, their terms, or any changes they make.
9) AI Outputs; No Advice; No Reliance; Your Responsibility
9.1 Outputs May Be Inaccurate
Outputs may be incorrect, incomplete, misleading, or inappropriate. You are responsible for reviewing, editing, fact-checking, and validating Outputs before publishing or relying on them.
9.2 No Professional Advice
The Service and Outputs are provided for informational/content-generation purposes only and do not constitute legal, medical, financial, tax, or other professional advice.
9.3 No Reliance
You agree you will not rely on Outputs as factual, complete, or suitable for any purpose without independent verification.
9.4 Compliance Is Your Responsibility
You are solely responsible for ensuring:
- your Inputs/Outputs and your publishing comply with all applicable laws and regulations (including any required "not advice" disclaimers and other disclosures);
- your Outputs do not infringe intellectual property rights or violate rights of others; and
- your use complies with platform rules (including publishing platforms and ad platforms).
10) Free Access (Limited) and Paywalled Content
We may offer limited free access. Currently, users may generate an article set but only access a limited portion of it (e.g., 3 articles of a 7-article set). Any remaining content may be locked and accessible only with a paid subscription.
When you start a paid subscription, locked content from previously generated sets may unlock without regeneration, subject to these Terms and your account status.
We may modify or discontinue free access at any time.
11) Tokens, Article Sets, and Usage Rules
11.1 Tokens
The Service uses tokens ("Tokens") as credits for generating content. 1 Token = 1 article generation. Article generation occurs in sets of 7 articles (1 pillar + 6 cluster articles), so a full set consumes 7 Tokens.
11.2 Token Nature
Tokens:
- have no cash value and are not legal tender;
- are non-transferable and may not be sold, assigned, or shared;
- are not "stored value" and do not create property rights.
11.3 Token Accrual
- Monthly plans: Tokens are credited at the start of each monthly billing cycle.
- Enterprise annual plan: 672 Tokens are credited upfront for the year.
11.4 Rollover and Account Status
Tokens roll over and remain associated with your account until you use them or your account is deleted, subject to these Terms.
Generation/publishing gating. If you cancel your subscription, you may retain your Token balance, but you may be limited to view/download access and may be required to re-subscribe to generate new content or use auto-publishing, even if Tokens remain.
11.5 Upgrades and Downgrades
- Upgrades: take effect immediately; we charge you and credit the new monthly Token allowance immediately. Token balances stack (existing Tokens remain and new allowances are added).
- Downgrades: take effect at the next renewal.
11.6 For-Cause Termination; Forfeiture
If we suspend or terminate your account for cause (including AUP violations, fraud, abuse, or legal/compliance risk), you forfeit all unused Tokens and are ineligible for refunds.
11.7 Changes to Tokens/Plans
We may change Token allotments, plan features, and Token economics prospectively (e.g., effective at your next renewal) with notice as described in Section 20.
12) Subscriptions, Billing, Auto-Renewal, and Cancellation
12.1 Auto-Renewal
Paid subscriptions auto-renew unless canceled.
12.2 Payment Processor
Payments are processed by Stripe (a third-party provider). We do not store full payment card details.
12.3 Cancellation Effect
When you cancel, cancellation takes effect immediately and you lose paid feature access right away, including generation and auto-publishing. You may still be able to view/download existing Outputs as described in these Terms.
12.4 Taxes
Prices may be displayed as tax-inclusive; however, if taxes are required to be collected in your jurisdiction, we may charge/collect additional taxes as required by law. You are responsible for any taxes not required to be collected by us.
13) Refunds
Refunds are governed by our Refund Policy, incorporated by reference.
Current rule: Refunds are available only within 7 days of purchase and only if no Tokens have been used. If any Tokens are used, no refund is available.
We do not provide partial or prorated refunds except where required by law.
14) Intellectual Property; Our Materials
The Service, including its software, templates, workflows, designs, and all related intellectual property (excluding your Inputs and Outputs), is owned by the Company and its licensors and is protected by law. You receive a limited, revocable, non-exclusive, non-transferable license to access and use the Service in accordance with these Terms.
You may not reverse engineer, decompile, scrape, bypass rate limits or access controls, or otherwise attempt to derive source code or underlying models except where such restrictions are prohibited by law.
15) IP Infringement Complaints
If you believe content associated with the Service infringes your intellectual property rights, you may send a complaint to legal@writegeo.ai including sufficient information for us to evaluate the claim.
We may remove, disable access to, or restrict content, and we may suspend or terminate accounts, in our discretion. We do not provide a formal counter-notice process.
16) Feedback
If you submit suggestions, ideas, or feedback about the Service ("Feedback"), you grant the Company a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and exploit the Feedback for any purpose without obligation or compensation to you.
17) Suspension and Termination
17.1 By You
You may stop using the Service at any time and may cancel subscriptions as described above.
17.2 By Us
We may suspend or terminate your access immediately (without notice) for:
- AUP violations or other breaches of these Terms;
- suspected fraud, abuse, or trial abuse;
- legal or compliance risk; or
- to comply with law or requests from authorities.
17.3 Effect
Upon termination:
- your right to access the Service ends;
- unused Tokens may be forfeited if termination is for cause; and
- we may delete or restrict access to content as described in these Terms and our Privacy Policy.
18) Disclaimers
THE SERVICE AND OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AND AVAILABILITY.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT OUTPUTS WILL BE ACCURATE OR SUITABLE FOR YOUR PURPOSES.
19) Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
- OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE FEES YOU PAID TO US FOR THE SERVICE IN THE ONE (1) MONTH IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
20) Indemnification
You agree to defend, indemnify, and hold harmless the Company and its owners, officers, directors, employees, contractors, and agents from and against any claims, damages, liabilities, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to:
- your Inputs, Outputs, CTA uploads, and any content you publish;
- your use of the Service (including integrations and automation);
- your violation of these Terms or the AUP; or
- your violation of any law, regulation, or third-party right (including IP, privacy, or publicity rights).
21) Changes to the Service, Plans, Pricing, and Terms
We may modify the Service, features, plans, Token allotments/economics, and pricing. We may also update these Terms.
We will provide notice of material changes by reasonable means (e.g., email, in-app notice, or posting an updated "Last updated" date). Changes typically apply at the next renewal, except where immediate changes are necessary for legal, security, or operational reasons.
Your continued use of the Service after changes become effective constitutes acceptance.
22) Privacy
Our collection and use of personal information is described in our Privacy Policy and Cookie Policy, which are incorporated into these Terms by reference.
23) Account Deletion; Data Retention (High-Level)
While your account is active, projects/articles/outputs are retained indefinitely unless you delete them.
23.1 Manual Deletions
If you delete a project, it is a hard delete and permanently removes the project and related associated records (and may cascade to related content). There is no guaranteed recovery once deleted.
23.2 Account Deletion Grace Period
If you request account deletion, we provide a 30-day deletion window during which:
- you may log in but your account is view/download only (no new generation and no auto-publishing);
- integration credentials/API keys are deleted immediately upon deletion request; and
- at the end of the 30 days, projects/articles/outputs are deleted.
We retain a minimal suppression record (first name, last name, email) indefinitely for fraud prevention/account suppression.

24) Export Controls and Sanctions
You may not use the Service if you are located in, under the control of, or a national or resident of any country subject to U.S. embargo, or if you are on any U.S. government restricted list (including OFAC lists), or if your use would violate applicable export control or sanctions laws.
We may block access, suspend accounts, or refuse service as required to comply with sanctions and export control laws.
25) Governing Law
These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-laws principles, except that the Federal Arbitration Act governs the arbitration agreement in Section 26.
26) ARBITRATION AGREEMENT AND CLASS ACTION WAIVER (IMPORTANT)
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
26.1 Informal Resolution First
Before initiating arbitration, you agree to contact us at legal@writegeo.ai and provide a brief description of the dispute and your requested relief. We will attempt to resolve the dispute informally.
26.2 Agreement to Arbitrate
Except for (i) small claims actions and (ii) actions for injunctive relief related to intellectual property or unauthorized access, you and the Company agree that any dispute arising out of or relating to these Terms or the Service will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its applicable rules.
Arbitration will be conducted in English. The arbitrator may award the same damages and relief as a court, subject to these Terms.
26.3 Class Action Waiver
YOU AND THE COMPANY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, REPRESENTATIVE, OR PRIVATE ATTORNEY GENERAL PROCEEDING.
26.4 Small Claims
Either party may bring an individual action in small claims court if the claim qualifies and remains in that court.
26.5 Opt-Out (30 Days)
You may opt out of arbitration by emailing legal@writegeo.ai within 30 days of the date you first accept these Terms. Your email must include:
- your name,
- the email address associated with your account, and
- a clear statement that you are opting out of arbitration.
If you opt out, you will not be bound by this arbitration agreement, but you will still be bound by all other Terms.
26.6 Venue for Non-Arbitrable Matters
For any dispute not subject to arbitration, you agree to exclusive jurisdiction and venue in the state or federal courts located in Wyoming, and you waive any objections to venue or inconvenient forum.

We may provide notices to you by email, in-app notifications, or by posting on the Service. You may contact us at:

28) Miscellaneous
- Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.
- Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
- No Waiver: Failure to enforce a provision is not a waiver.
- Force Majeure: We are not liable for delays or failures due to events beyond our reasonable control.
- Entire Agreement: These Terms, along with the AUP, Privacy Policy, Cookie Policy, Refund Policy, and AI Usage & Disclaimer Policy, form the entire agreement between you and the Company regarding the Service.
- Headings: Headings are for convenience only and do not affect interpretation.
